ADT, one of America's best-known home security companies, has agreed to be acquired by Thrive Holdings in an all-cash deal valued at approximately $7.6 billion in equity value and $15.3 billion in enterprise value, the companies announced on October 29.

Under the agreement, ADT shareholders will receive $10 per share in cash — a 45.6% premium to the company's unaffected closing price of $6.87 on October 27, and 52.1% above its 30-day volume-weighted average price. ADT's board unanimously approved the transaction.

ADT shares jumped 33% on the news, closing at $9.87 on October 29, just below the offer price — a sign investors expect the deal to go through. Once the deal closes, ADT will become a privately held company and its stock will stop trading on the New York Stock Exchange.

Financing commitments for the acquisition have been provided solely by funds managed by affiliates of Apollo Global Management, and the deal is not subject to a financing condition. Thrive Holdings is a permanent-capital holding company that invests in established businesses and works with their teams to expand technology capabilities.

The deal is not a done deal yet. It still requires ADT shareholder approval and U.S. antitrust clearance, and ADT has a 30-day window ending November 28 to solicit competing offers. If all conditions are met, the transaction is expected to close in the first quarter of 2027.
